1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," "your") and Creatief Digital B.V. ("Company," "we," "our," "us"), operating LetWorkFlow.io ("Platform," "Service"). By accessing or using LetWorkFlow.io, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Description of Service

LetWorkFlow.io is a workflow management and billing platform that provides:

• Project and task management tools
• Financial tracking and reporting
• Client and team collaboration features
• Time tracking and expense management
• Document storage and secure sharing
• Billing and subscription management
• Optional third-party integrations (Stripe, Upwork)

3. Account Registration and Security

3.1 Account Creation

• You must provide accurate, complete, and current information
• You must be at least 16 years old to use the Service
• You are responsible for maintaining account security
• Payment information required at registration (free trial included)

3.2 Account Security

• You are responsible for all activities under your account
• You must immediately notify us of any unauthorized use
• We are not liable for any loss from unauthorized account access
• You must not share account credentials with others

3.3 Account Types and Roles

The Platform supports multiple user roles with different permissions:

• Account Owner: Full administrative control
• Admin: Administrative access except billing
• Manager: Project and team management
• Member: Standard user access
• Viewer: Read-only access (not counted as billable seat)

4. Subscription and Payment Terms

4.1 Free Trial

• Trial Period: 14 days during launch month, then 7 days thereafter
• Features: Full access to all features during trial
• Conversion: Automatic conversion to paid plan after trial ends
• Payment: Payment method required at signup

4.2 Subscription Plans

• Starter: €199/month or €1.999/year (5 included seats, €20/additional seat)
• Growth: €399/month or €3.999/year (25 included seats, €15/additional seat)
• Scale: €699/month or €6.999/year (60 included seats, €10/additional seat)

4.3 Billing Terms

• All fees are exclusive of applicable taxes
• EU customers must provide valid VAT numbers for reverse charge
• Payments processed securely through Stripe
• Subscriptions auto-renew unless cancelled
• Billing based on peak number of billable users per period (high-water mark)

4.4 Refund Policy

• Monthly Plans: No refunds for partial months
• Annual Plans: Pro-rata refunds available for unused full months upon cancellation
• Exceptions: Special circumstances considered on case-by-case basis via hello@letworkflow.io
• Money-Back Guarantee: 30-day money-back guarantee for first-time subscribers only (cannot be used repeatedly)

4.5 Payment Failures

• Grace period of 7 days for payment retry
• Limited access after repeated failures
• Account suspension after 30 days of non-payment
• Data preserved for 30 days post-suspension

5. User Responsibilities and Acceptable Use

5.1 You agree to:

• Use the Service in compliance with all applicable laws
• Maintain accurate account and billing information
• Respect intellectual property rights
• Report any security breaches immediately
• Use the Service in good faith for legitimate business purposes

5.2 You agree NOT to:

• Violate any laws or regulations
• Upload malicious code or viruses
• Attempt unauthorized access or reverse engineering
• Exceed rate limits (300 API requests per minute)
• Resell the Service without written permission
• Use the Service to compete with or analyze LetWorkFlow.io
• Systematically extract data for competitive purposes
• Share account access to avoid seat-based billing

6. Service Limits

6.1 Storage and Upload Limits

• File Upload Size: Maximum 100MB per file
• Storage Limits:
  
  • Starter: 50GB total storage
  • Growth: 200GB total storage
  • Scale: 1TB total storage
• File Types: Documents, images, spreadsheets (no executable files)

6.2 Usage Limits

• API Rate Limit: 300 requests per minute per account
• Projects/Users: No hard limits, but performance optimized for plan tiers
• Excessive usage may require plan upgrade

7. Content and Data

7.1 Your Content

• You retain ownership of all content you upload
• You grant us a limited license to provide the Service
• You are responsible for having rights to all uploaded content
• You must comply with all applicable privacy laws for data you process

7.2 Our License to Your Content

You grant us a worldwide, non-exclusive, royalty-free license to:

• Store, backup, and process your content to provide the Service
• Display content to users you authorize
• Create aggregated, anonymized analytics and insights
• Generate industry benchmarks from anonymized data

7.3 User-Generated Templates and Processes

• You retain ownership of your specific business processes and templates
• We may analyze patterns to improve Service features
• We will not copy or redistribute your specific processes
• Abstracted best practices may be incorporated into platform improvements

8. Intellectual Property Rights

8.1 Our Property

All Service components including software, design, and trademarks are owned by Creatief Digital B.V. and protected by intellectual property laws.

8.2 Feedback and Suggestions

Any feedback or suggestions you provide may be used by us without compensation or attribution.

9. Third-Party Services

9.1 Integrations

• Stripe: Payment processing (Stripe's terms apply)
• Upwork: Optional integration (requires separate authorization)
• Google Cloud Platform: Infrastructure services

9.2 Third-Party Limitations

We are not responsible for third-party service availability, data loss, or terms changes.

10. Support Terms

10.1 Support Included

• Email support via hello@letworkflow.io
• In-app issue reporting and enhancement suggestions
• Knowledge base and documentation access

10.2 Response Times

• Critical Issues (service unavailable): Best effort, typically within 24 hours
• Standard Issues: Within 72 business hours
• Feature Requests: Acknowledged within 7 days

11. Service Availability

11.1 Infrastructure

We utilize Google Cloud Platform infrastructure with their standard availability guarantees. While we strive for maximum uptime, we do not guarantee specific availability percentages.

11.2 Maintenance

Scheduled maintenance will be announced 48 hours in advance when possible. Emergency maintenance may occur without notice.

12. Data Protection and Privacy

12.1 Privacy Policy

Your use is governed by our Privacy Policy, which is incorporated by reference.

12.2 Data Location

• EU customers: Data stored in europe-west1 region
• Future US customers: Data will be stored in US regions
• No data sale to third parties

12.3 Data Export

• Export available in PDF format (additional formats coming)
• 30 days to export data after account termination
• No fees for data export

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

13.1 No Indirect Damages

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.

13.2 Liability Cap

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF €100 OR THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

13.3 Exceptions

These limitations do not apply to liability that cannot be excluded under applicable law.

14. Indemnification

You agree to indemnify and hold harmless Creatief Digital B.V. and its affiliates from any claims, damages, losses, and expenses (including legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms or applicable law
• Your violation of third-party rights
• Your content or activities under your account
• Disputes between you and your clients or team members

15. Account Termination

15.1 Termination by You

• Cancel anytime through account settings
• Monthly plans: Cancellation effective at period end
• Annual plans: Pro-rata refund for unused full months
• 30 days to export data after termination

15.2 Termination by Us

We may terminate for:

• Terms violation
• Non-payment beyond grace period
• Fraudulent or illegal activity
• Extended inactivity (12+ months)
• With 30 days notice for any reason

15.3 Effect of Termination

• Immediate access termination (except for data export)
• Data retained for 30 days
• Certain Terms provisions survive termination

16. Modifications

16.1 Service Changes

We may modify features, pricing (with 30 days notice), or limits as needed.

16.2 Terms Updates

• Material changes notified via email
• Continued use constitutes acceptance
• Right to terminate if you disagree

17. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE SERVICE.

18. Governing Law and Disputes

18.1 Governing Law

These Terms are governed by the laws of the Netherlands.

18.2 Jurisdiction

Disputes subject to exclusive jurisdiction of Amsterdam courts.

18.3 Dispute Resolution

Good faith negotiation required before legal proceedings.

19. General Provisions

19.1 Entire Agreement

These Terms and Privacy Policy constitute the entire agreement.

19.2 Severability

Invalid provisions will be modified to be enforceable.

19.3 Assignment

You cannot assign rights without our consent.

19.4 Force Majeure

Neither party liable for delays beyond reasonable control.
